CONSULTING SERVICES AGREEMENT

 

This Consulting Services Agreement ("Agreement") is entered into as of the Effective Date by and between the following parties:

 

Consulting Firm: UtopianView Business Consulting, a Nigeria entity with its principal place of business at Road 22 World Bank Estate, Umuahia, Abia State, Nigeria ("Consultant").

Client: The entity or individual engaging Consultant’s services ("Client").

1. SERVICES

​

Consultant agrees to provide consulting services as described in a separate Statement of Work ("SOW"). Consultant shall perform services in a professional manner in accordance with industry standards.

 

2. COMPENSATION

 

Client shall compensate Consultant as specified in the SOW. Payments shall be made within [number] days of invoicing. Late payments may incur interest at [rate] per month.

 

3. TERM AND TERMINATION

 

This Agreement begins on the Effective Date and continues until completion of services unless terminated earlier by either party with [notice period] written notice. Either party may terminate for material breach if not cured within [cure period] days.

 

4. CONFIDENTIALITY

 

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this Agreement and not to disclose such information to third parties without written consent.

 

5. INTELLECTUAL PROPERTY

 

All work product created by Consultant shall remain Consultant’s property unless otherwise stated in the SOW. Client shall receive a non-exclusive, non-transferable license to use deliverables.

 

6. INDEPENDENT CONTRACTOR

 

Consultant is an independent contractor and not an employee, agent, or partner of Client. Consultant is responsible for all taxes and liabilities associated with its business operations.

 

7. LIMITATION OF LIABILITY

 

Consultant’s liability shall be limited to the amount paid for services under this Agreement. Neither party shall be liable for consequential, indirect, or special damages.

 

8. INDEMNIFICATION

 

Each party agrees to indemnify, defend, and hold harmless the other party from any third-party claims arising out of the indemnifying party’s negligence or willful misconduct.

 

9. GOVERNING LAW

 

This Agreement shall be governed by the laws of Nigeria. Any disputes shall be resolved in the courts of Nigeria.

 

10. MISCELLANEOUS

 

This Agreement constitutes the entire agreement between the parties.Amendments must be in writing and signed by both parties.If any provision is found unenforceable, the remaining provisions shall remain in effect.
